Q1. Assignment of Trademark to an LLP? I am the owner of a trademark registered in my name and intend to assign it to a proposed LLP, in which I will be one of the partners. The second partner will be paying me consideration for the assignment. Is such an assignment legally permissible, and what would be the legal and tax implications of this transaction

If you are the registered owner of the trademark, you can legally assign the trademark to the proposed LLP for a mutually agreed consideration. Since you will also become a partner in the LLP, the rights associated with the registered trademark will be transferred to the LLP and will consequently be available to all its partners as per the LLP arrangement. The other partner or partners may pay you the agreed consideration for the assignment. Stamp duty applicable to the assignment would be 3% of the consideration, and the applicable provisions relating to capital gains taxation would apply to the transaction.
